These Website Terms of Service (“Terms”) govern your access to and use of the website located at www.instruments.com and any related pages, content, or services operated by Computer Instruments, LLC (“Computer Instruments,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms govern your use of our marketing website only. Your use of any Computer Instruments software, platform, or services is governed by a separate written agreement between Computer Instruments and the applicable customer (the “Customer Agreement”). In the event of a conflict between these Terms and a Customer Agreement with respect to the platform or services, the Customer Agreement controls.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. By using the Site, you represent that you meet these requirements. The Site is not directed to children under 13, and we do not knowingly collect personal information from children under 13.

2. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” above and post the updated Terms on the Site. Your continued use of the Site after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Site.

3. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes. You agree not to:

  • Use the Site in any manner that violates any applicable law or regulation;
  • Access or attempt to access areas of the Site not intended for public use, or bypass any access or security controls;
  • Use any automated means (including bots, scrapers, or crawlers) to access, copy, or extract content from the Site without our prior written consent, except for search engines operating in accordance with standard robots.txt conventions;

  • Reverse engineer, decompile, or disassemble any portion of the Site, except to the extent applicable law expressly permits;

  • Use the Site to train, fine-tune, or develop any artificial intelligence or machine learning model without our prior written consent.

The Site and all content on it — including text, graphics, logos, images, software, and the selection and arrangement thereof — are the property of Computer Instruments or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

“Computer Instruments,” the Computer Instruments logo, and related product names and marks used on the Site are trademarks of Computer Instruments, LLC. You may not use these marks without our prior written consent.

Nothing in these Terms grants you any right or license to use any Computer Instruments trademark, copyright, or other intellectual property except as expressly permitted.

5. User Submissions

If you submit information to us through the Site (for example, through a contact form, support request, or similar channel), you represent that the information is accurate and that you have the right to share it. You grant Computer Instruments a non-exclusive, worldwide, royalty-free license to use that information to respond to your inquiry, provide requested services, and operate and improve our business, subject to our Privacy Policy.

Do not submit any sensitive personal information (such as Social Security numbers, government-issued ID numbers, payment card information, or protected health information) through the Site. If you are a healthcare organization evaluating our platform, please contact us directly rather than submitting patient information through the Site.

6. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Computer Instruments. We provide these links for convenience only and do not endorse, control, or assume responsibility for third-party content, privacy practices, or services. Your use of any third-party website or service is at your own risk and subject to the terms and policies of that third party.

7. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPUTER INSTRUMENTS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current. Any reliance on material on the Site is at your own risk.

Descriptions of Computer Instruments products and services on the Site are for informational purposes only and do not constitute a binding offer or commitment. Binding product and service terms are set forth in the applicable Customer Agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPUTER INSTRUMENTS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Computer Instruments and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any applicable law or the rights of any third party.

10. Termination

We may suspend or terminate your access to the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive — including intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will continue to apply.

11. Governing Law and Venue

These Terms are governed by the laws of the State of Kansas, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Douglas County, Kansas (Lawrence, Kansas), and you consent to the personal jurisdiction of those courts.

12. Miscellaneous

These Terms constitute the entire agreement between you and Computer Instruments regarding your use of the Site and supersede any prior agreements on the same subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
